Aftermarket Domain Purchase Terms & Conditions

These Marketplace Premium Domain Purchase Terms (“Purchase Terms”) govern the purchase of premium aftermarket domain names listed for sale through the AEserver Marketplace, operated by AEserver FZE (“AEserver”, “we”, “us”, “our”).

By clicking Buy now, accepting these Purchase Terms, or paying an invoice generated for a Marketplace Listing, you (“Buyer”, “you”, “your”) confirm that you have read, understood, and agreed to be legally bound by these Purchase Terms.

1. Definitions #

Marketplace	The AEserver Marketplace through which eligible AEserver clients may list domain names for sale at a fixed Buy-Now price.
Listing	A public fixed-price offer made by a Seller for a specific domain name.
Seller	The AEserver client who controls the domain and lists it for sale through the Marketplace.
Buyer	The person or legal entity placing and paying for an order to purchase a Listing.
Purchase Price	The fixed Buy-Now price displayed for the domain, excluding applicable VAT or other charges unless expressly stated otherwise.
Sale	A Marketplace transaction in which the Buyer pays for a Listing, the Seller accepts the transaction, and the domain is transferred to the Buyer.
Transfer	The change of registrant and account control through which the domain is moved from the Seller’s AEserver account to the Buyer’s AEserver account.
Domain License	The contractual registration rights associated with a domain name for its remaining registration period, subject to applicable registry, registrar, and dispute-resolution policies.

2. Nature of the transaction #

2.1 Aftermarket domain purchase #

This transaction is the purchase of an existing domain license from its current registrant. It is not a new domain registration, registration renewal, domain appraisal, or general domain-acquisition brokerage service.

The amount displayed for the Listing is the Purchase Price requested by the Seller for the transfer of the domain. It is not a non-refundable service fee paid merely for AEserver to attempt to contact or negotiate with a domain owner.

2.2 AEserver’s role #

The Seller, and not AEserver, is the person or entity offering the domain for sale, unless a Listing expressly identifies AEserver as the Seller.

AEserver operates the Marketplace, collects the Buyer’s payment, verifies that the domain is held within the Seller’s AEserver account, coordinates the Transfer, and arranges settlement of the Seller’s payout through AEserver’s Escrow.com transaction.

AEserver does not independently appraise the domain or guarantee its commercial value, legal suitability, traffic, profitability, search-engine performance, or freedom from third-party claims.

3. Placing and accepting an order #

3.1 Binding purchase offer #

By clicking Buy now, accepting these Purchase Terms, and paying the invoice generated by AEserver, the Buyer makes a binding offer to purchase the identified domain at the displayed Purchase Price.

The order applies only to the exact domain identified on the Marketplace Listing and order form. The Buyer is responsible for reviewing the spelling, extension, Purchase Price, currency, and applicable taxes before making payment.

3.2 Seller acceptance #

The Seller must accept the paid Sale through their AEserver Marketplace dashboard within seven (7) days after payment. Until the Seller accepts, the Sale remains subject to confirmation of availability and the Seller’s continued ability to complete the Transfer.

If the Seller does not accept within seven (7) days, the Sale will be automatically cancelled and the Buyer will receive the refund described in section 8.

3.3 Verification and compliance #

AEserver may require the Buyer to complete identity, business, payment, sanctions, fraud-prevention, or source-of-funds checks before accepting or completing an order. Payment alone does not require AEserver to proceed where the transaction cannot lawfully or securely be completed.

4. Purchase Price and payment #

4.1 Payment #

The Buyer must pay the complete invoice using a payment method made available by AEserver. An order is not considered paid until the funds have cleared and are available to AEserver without restriction.

AEserver may reject payments made using an unauthorised, fraudulent, third-party, restricted, or unverifiable payment source.

4.2 Taxes and currency #

The Purchase Price is exclusive of VAT and other applicable taxes unless expressly stated otherwise. UAE VAT and any other applicable charges will be displayed on the invoice before payment.

If the Buyer pays in a currency different from the invoice currency, the Buyer’s bank or payment provider may impose its own exchange rate, conversion fee, or international transaction charge. Such third-party charges are outside AEserver’s control.

4.3 Custody and release of funds #

Buyer funds collected by AEserver are retained for the transaction and are not released as a Seller payout until the Transfer has been successfully completed.

By placing the order, the Buyer authorises AEserver to fund the related Escrow.com transaction and release the Seller’s payout after AEserver confirms that the domain has been transferred to the Buyer’s AEserver account.

5. What is included in the purchase #

The remaining registration period at the time of Transfer.	Any registration renewal or extension beyond the existing expiry date.
AEserver’s standard registrar-side domain management services.	Email accounts, email data, customer records, analytics, advertising accounts, or social-media accounts.
The right to configure the domain after completion, subject to applicable policies.	Trademarks, logos, company names, copyrights, goodwill, traffic, revenue, backlinks, or other intellectual property.

Future renewal charges, including any registry premium renewal price applicable to the domain, are separate from the Purchase Price and remain the Buyer’s responsibility.

6. Domain Transfer #

6.1 AEserver account required #

The Buyer must maintain an active AEserver client account in good standing and provide complete and accurate registrant information. The domain will initially be transferred to the Buyer’s AEserver account.

6.2 Transfer method #

The Sale is normally completed through an internal registrant change within AEserver. The Seller must complete the required Marketplace acceptance process and provide any authorisation code, signed Transfer Declaration, identity document, or other confirmation requested by AEserver.

The Buyer authorises AEserver to update the domain’s account assignment and registrant information for the purpose of completing the Sale.

6.3 Completion #

The Transfer is considered complete when:

1. The domain appears within the Buyer’s AEserver account;
2. The Buyer has been assigned registrant control of the domain; and
3. AEserver’s records confirm completion of the registrant change.

After completion, AEserver may release the Seller’s payout without requiring any further approval from the Buyer.

6.4 Processing time and transfer restrictions #

AEserver will use reasonable efforts to complete the Transfer promptly after receiving all required confirmations and documentation. Processing time may vary according to the domain extension, registry requirements, compliance checks, Seller cooperation, and other circumstances outside AEserver’s control.

A change of registrant or later transfer to another registrar may be subject to registry, registrar, ICANN, or country-code policy restrictions, including a transfer lock or waiting period where applicable. The Buyer is responsible for reviewing any applicable transfer restriction before purchasing the domain.

7. Buyer responsibilities #

Before purchasing and during the Transfer, the Buyer must:

1. Be at least 18 years of age, or the applicable age of legal majority;
2. Have full legal authority to enter into and complete the transaction;
3. Provide accurate account, registrant, billing, and verification information;
4. Meet all eligibility requirements imposed by the relevant registry or domain policy;
5. Respond promptly to reasonable requests for confirmation or documentation;
6. Maintain the security of the receiving AEserver account;
7. Review the domain’s spelling, extension, expiry date, renewal price, and intended use;
8. Conduct their own legal and commercial due diligence before purchasing;
9. Ensure that the intended registration and use of the domain do not infringe any trademark, trade name, privacy right, or other third-party right.

The Buyer’s payment for a Listing does not mean that AEserver has approved the Buyer’s proposed use of the domain.

8. Buyer protection, cancellation, and refunds #

8.1 Seller does not accept or deliver #

The Buyer will receive a full refund of the invoice amount paid to AEserver if:

1. The Seller does not accept the Sale within seven (7) days after payment;
2. The Seller rejects the Sale;
3. The Seller is unable or unwilling to complete the Transfer;
4. The domain is no longer under the Seller’s control;
5. AEserver determines that the domain cannot lawfully or technically be transferred for a reason not attributable to the Buyer; or
6. AEserver cancels the Sale before completion for a reason not attributable to the Buyer.

8.2 Refund method and timing #

Refunds under section 8.1 will be submitted through the original payment method within seven (7) business days after cancellation. The time required for the refunded amount to appear is then determined by the Buyer’s bank or payment provider.

AEserver will refund the invoice amount received by AEserver. AEserver is not responsible for exchange-rate differences, correspondent-bank charges, or other external charges imposed independently by the Buyer’s bank or payment provider.

8.3 Buyer cancellation #

Before the Seller accepts the Sale, the Buyer may ask AEserver to cancel the order. AEserver will use reasonable efforts to accommodate the request, but cancellation is not guaranteed and remains subject to AEserver’s reasonable discretion.

Once the Seller has accepted the Sale, the Buyer may not cancel merely because the Buyer has changed their mind, no longer requires the domain, has reconsidered its value, or wishes to use the funds for another purpose.

8.4 Buyer delay or non-cooperation #

If the Sale cannot be completed because the Buyer fails to provide required information, complete verification, satisfy registry eligibility requirements, maintain a valid AEserver account, or reasonably cooperate with the Transfer, AEserver may cancel the Sale. Any resulting refund will be determined in accordance with the Marketplace Terms and applicable law, and may be reduced by documented, non-recoverable costs directly caused by the Buyer’s failure.

8.5 Finality after Transfer #

Once the Transfer has been completed and the Seller’s payout has been released, the Sale is final and cannot be reversed or refunded merely because the Buyer changes their mind or becomes dissatisfied with the domain’s commercial performance.

Nothing in these Purchase Terms excludes any cancellation, refund, or other remedy that cannot lawfully be excluded under applicable mandatory consumer-protection law.

9. Verified Listings and warranties #

A Listing marked as a Verified domain means that AEserver has confirmed that the domain was registered within, and controlled through, the Seller’s AEserver account at the time of verification.

Verification does not constitute:

1. A legal opinion concerning ownership or entitlement;
2. A trademark or intellectual-property clearance;
3. A guarantee that no third party will bring a claim or dispute;
4. An appraisal or guarantee of the domain’s market value;
5. A guarantee of traffic, revenue, backlinks, search ranking, or profitability;
6. A guarantee that the domain is suitable for the Buyer’s intended business or activity.

Except for the express Buyer protection provided in section 8, the Buyer purchases the domain in its existing condition and based on the Buyer’s own assessment and due diligence.

10. Compliance and prohibited conduct #

The Buyer may not use the Marketplace or purchase a domain:

1. Using fraudulent, stolen, unauthorised, or third-party payment details;
2. On behalf of a sanctioned or legally restricted person or entity;
3. For money laundering, sanctions evasion, phishing, malware, impersonation, fraud, or another unlawful purpose;
4. In bad faith to infringe a trademark, trade name, personal name, or other protected right;
5. To manipulate the Marketplace, interfere with another transaction, or bypass AEserver by dealing directly with the Seller after initiating an order.

AEserver may suspend an order, request additional documentation, reject payment, cancel a Sale, withhold settlement, suspend an account, or report suspected unlawful conduct to the competent authorities where reasonably necessary.

A Buyer must not initiate a chargeback as a substitute for contacting AEserver about a refund or transaction dispute. Fraudulent or abusive chargebacks may result in account suspension and recovery action for any resulting amount, cost, or damage.

11. Privacy and transaction records #

AEserver processes Buyer information in accordance with its Privacy Policy. Information may also be processed where necessary to verify payment, complete the Transfer, prevent fraud, comply with applicable law, or maintain evidence of the transaction.

AEserver may retain the order, invoice, payment record, acceptance record, domain-transfer record, account activity, communications, and the version of these Purchase Terms accepted by the Buyer for legal, accounting, compliance, and dispute-resolution purposes.

The Seller will receive only the information reasonably required to complete and document the Sale. AEserver will not disclose the Buyer’s payment-card details to the Seller.

12. Complaints and transaction disputes #

If the Buyer believes that a Seller has failed to complete a Transfer, a Listing was materially misleading, or another problem has occurred, the Buyer must contact AEserver support without unreasonable delay and provide the relevant order number and supporting evidence.

AEserver will review the transaction records and may communicate with the Seller, pause the Seller’s payout, request additional information, complete or cancel the Transfer, or issue a refund where permitted by these Purchase Terms.

If the matter cannot be resolved informally, the dispute-resolution provisions in the AEserver Marketplace Terms will apply.

13. Disclaimer and limitation of liability #

To the maximum extent permitted by applicable law, AEserver is not responsible for:

1. The commercial success, value, profitability, traffic, or search performance of the domain;
2. The Buyer’s intended use of the domain;
3. A trademark, trade-name, intellectual-property, or other third-party claim relating to the domain;
4. Loss caused by the Buyer providing incorrect account or registrant information;
5. External bank, payment-provider, registry, Escrow.com, or telecommunications delays outside AEserver’s reasonable control;
6. Indirect, consequential, incidental, or special loss, including loss of profit, opportunity, goodwill, or anticipated savings.

AEserver’s liability is otherwise subject to the limitations contained in the AEserver Marketplace Terms and general Terms of Service. Nothing in those limitations removes AEserver’s obligation to process a refund expressly due to the Buyer under section 8 of these Purchase Terms.

Nothing in these Purchase Terms limits or excludes liability that cannot be limited or excluded under applicable mandatory law.

14. Changes to these Purchase Terms #

AEserver may amend these Purchase Terms from time to time. Each order will be governed by the version presented to and accepted by the Buyer when the order is placed, unless a change is required by applicable law or agreed by the parties.

The effective date and last-updated date at the beginning of this page identify the current published version.

15. Governing law #

These Purchase Terms are governed by the laws of the United Arab Emirates and the applicable laws of the Emirate of Sharjah, without regard to conflict-of-laws principles.

The jurisdiction and dispute-resolution provisions contained in the AEserver Marketplace Terms apply to every order governed by these Purchase Terms.
